2.Acceptance of These Terms
By creating an account, accessing or using Outbehaving, you confirm that:
- you have read and understood these Terms;
- you agree to be legally bound by them; and
- you will comply with them at all times.
If you do not agree to these Terms, you must not create an account or use the platform.
3.What Outbehaving Is
Outbehaving is a digital platform designed to help individuals improve everyday life and money through access to tools, services, selected partners, and participation-based features.
We may:
- provide digital tools, insights and features;
- connect you with third-party providers;
- introduce or facilitate access to products and services;
- offer participation, reward and ownership-aligned mechanisms; and
- continuously evolve the platform.
At the date you agree to these Terms, unless we expressly tell you otherwise in writing for a specific service, Outbehaving does not itself provide banking, insurance, lending or regulated financial advice services. If that position changes for any product or service, we will tell you and updated or additional terms, notices and disclosures may apply.
Some services are provided by third parties, including regulated providers.
4.Eligibility
To use Outbehaving, you must:
- be at least 18 years old;
- have the legal capacity to enter into a binding agreement; and
- not be restricted from using our services under applicable law.
We may refuse or remove access where reasonably necessary.
5.Eligibility for Ownership Participation
The intention of Outbehaving is to be a globally inclusive platform. However, not every user will be eligible for ownership participation or any future conversion of Impact Shares.
Outbehaving is initially operating in the United Kingdom. At this stage, eligibility for ownership participation (including any conversion of Impact Shares) is limited to users who are legally resident in:
- England
- Scotland
- Wales
- Northern Ireland
We may expand eligibility to additional territories over time as Outbehaving becomes actively available in those regions.
Users outside of eligible territories may still:
- create an account;
- use the platform (where available); and
- earn and build Impact Shares.
However, they will not be eligible to participate in any ownership conversion unless and until their territory becomes eligible.
Where Outbehaving offers participation in Impact Shares, conversion windows, ownership participation or similar features, additional eligibility criteria may apply, including age, location and jurisdiction, legal capacity, identity and verification checks, sanctions and fraud screening, compliance with platform rules, conduct on the platform, and applicable legal, regulatory or tax considerations.
Discretionary Eligibility Clause — Outbehaving may, at its sole discretion and on a case-by-case basis, grant eligibility for ownership participation to individuals outside of the listed eligible territories, including where required to recognise strategic partners, Founders Circle members, or other key contributors, provided that any such decision complies with applicable legal, regulatory, tax and sanctions requirements.
6.Creating an Account
To access Outbehaving, you must create an account. You agree that:
- all information you provide is accurate and complete;
- you will keep your information up to date;
- you will not create an account using false or misleading details; and
- your account is personal to you unless we agree otherwise.
We may request additional information at any time where reasonably necessary.
7.Identity and Verification
Where reasonably necessary, we may carry out identity verification, fraud prevention, sanctions screening, and partner or regulatory checks.
We do this for legitimate reasons including legal compliance, fraud prevention, customer protection, partner requirements and platform integrity.
We may delay or restrict access, require further information, or refuse or close accounts where checks are unsuccessful. We do not guarantee eligibility for any service.
8.Account Security
You are responsible for keeping your login details secure, not sharing your account unless permitted, and notifying us of unauthorised access.
We may treat activity on your account as authorised unless notified otherwise.
9.How the Platform Works
Outbehaving provides access to a range of features, which may include digital tools and insights, partner services, tiered membership structures, participation and reward-based mechanisms, and community or content features.
Access may vary depending on your profile, eligibility, location, tier and partner requirements.
We may add, remove or change features at any time, provided we act lawfully and, where relevant, give appropriate notice.
10.Our Role
Depending on the service, Outbehaving may act as a platform provider, an introducer, a facilitator, or a connector to partners.
Unless explicitly stated, we do not provide regulated financial advice, guarantee outcomes, or act as the provider of third-party products.
11.Membership Tiers
Outbehaving may operate tiered membership levels. Tiers may determine access to features, influence participation limits, affect rewards or recognition, and evolve over time.
Your tier may determine how many Impact Shares can be awarded to you in any month or other period we set.
12.Participation, Impact Shares and Ownership Alignment
Outbehaving is built on the intention of aligning the platform with its community over time. As part of this, users may be able to earn or receive participation-based units referred to as “Impact Shares” or similar.
You acknowledge that:
- Impact Shares are not shares in a company;
- they do not represent current ownership, equity or a financial instrument;
- they have no guaranteed monetary value;
- they are not transferable unless stated otherwise; and
- they do not guarantee any future conversion into shares or ownership.
Outbehaving’s intention is to build a pathway for users and Impact Shares to be considered for conversion into a form of ownership or equivalent participation right, where lawful, tax-efficient and commercially appropriate. This is an intention only. It is not guaranteed. No user has a right to demand conversion, and no conversion window is guaranteed to open.
13.Fees and Payments
Creating an account is free. Some features, services or tiers may become paid in the future, including optional premium accounts or additional services.
Where applicable, fees will be clearly presented before commitment, payments may be recurring, pricing may change with notice, and non-payment may result in restricted access.
14.No Guarantee of Outcomes
We do not guarantee access to any service, approval for any product, financial outcomes or savings, partner availability, or future value or conversion of Impact Shares.
Any references to future benefits, value or participation are statements of intention or description only unless we expressly state otherwise in writing.
15.Your Responsibilities
You agree to use the platform lawfully, not to misuse or exploit the system, not to create multiple accounts, to provide accurate information, and to make your own decisions.
Outbehaving supports decision-making but is not your sole source of information or advice.
16.Data, Communications & Changes
Your data is handled in accordance with our Privacy Policy. We may contact you via email, app notifications, SMS or other digital channels, including service, security and account-related communications.
We may update these Terms and may ask you to accept revised Terms before continued use.
17.Suspension, Liability & Governing Law
We may suspend or close your account if you breach these Terms, misuse the platform, fail verification, or where legal, compliance or risk requirements apply.
Nothing limits your statutory rights. To the extent permitted by law, we are not liable for indirect loss, we are not responsible for third-party services, and we do not guarantee uninterrupted access.
These Terms are governed by the laws of England and Wales.
